These Terms & Conditions (the “Terms”) govern your access to and use of pistiscontracting.com (the “Site”), and your interactions with Pistis Contracting (“Pistis,” “we,” “us,” or “our”) by way of the Site, including enquiries, requests for quotations, bookings for consultations, and applications to join our trade network. By accessing or using the Site, or by submitting any information through it, you agree to these Terms. If you do not agree, do not use the Site.
These Terms do not by themselves create a contract for construction, design, or any other services. Any such services are governed by a separate written contract signed by both parties (the “Project Contract”).
1. Who we are
Pistis Contracting is a general contracting practice based in the Greater Toronto Area, Ontario, Canada. References in these Terms to “Pistis” include our owners, employees, agents, and authorised subcontractors acting in that capacity.
2. Eligibility
You represent that you are at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) and that you have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and references to “you” include the organisation.
3. The Site is informational
The Site is provided for general information about our practice. Descriptions of services, materials, finishes, timelines, and approximate prices are illustrative and may change without notice. Photographs, renderings, and case-study content depict past or representative projects and are not promises of any particular outcome on your project.
Nothing on the Site constitutes architectural, engineering, structural, legal, financial, tax, or other professional advice. You should obtain independent advice before relying on any information on the Site.
4. Enquiries, estimates, quotations, and proposals
You may submit enquiries through the Site or by email or telephone. Any response we provide, including a budget range, a feasibility note, a written estimate, a quotation, a fee letter, or a proposal, is:
- provided in good faith on the basis of the information you have given us and our understanding of the project at that time;
- non-binding unless and until a Project Contract is signed by both parties; and
- subject to revision once the scope is finalised, drawings are issued, sub-surface or concealed conditions are discovered, applicable codes are reviewed, or material costs change.
Unless we expressly state otherwise in writing, an estimate or quotation is valid for thirty (30) days from the date it is issued and is subject to our standard contracting terms attached to the Project Contract.
5. Consultations and bookings
Consultations are introductory meetings to assess fit and scope. They are not a substitute for design, engineering, or contracted work. If we charge a fee for a consultation, we will tell you in advance. We may decline to take on any project at our discretion and will tell you promptly if we are not the right fit, so that you can engage another contractor without delay.
6. Communications and consent under CASL
By contacting us through the Site you consent to us responding to your enquiry through the channel you have provided (email, telephone, or text message). If you have asked us to provide a quotation or consultation, we may continue to communicate with you about that matter as part of our existing business relationship under Canada’s Anti-Spam Legislation (CASL). You may unsubscribe from commercial electronic messages at any time using the unsubscribe link or by writing to us, and we will continue to send only transactional or service-related communications.
7. Your submissions
By submitting information to us through the Site you represent and warrant that:
- the information you submit is accurate, complete, and not misleading;
- you have the right to submit it, including any drawings, photographs, or documents prepared by third parties (and that doing so does not infringe the rights of any third party);
- the information does not contain unlawful, defamatory, harassing, infringing, or harmful content; and
- you grant us a non-exclusive, royalty-free, world-wide licence to use the information for the purposes described in our Privacy Policy, including responding to your enquiry, preparing an estimate, and (only if you give separate consent in writing) using project photographs in our portfolio.
8. Intellectual property
All content on the Site — including text, photographs, renderings, drawings, logos, the “Pistis” word mark and design, page layouts, code, and other materials — is owned by Pistis or our licensors and is protected by Canadian and international copyright, trademark, and other intellectual-property laws. You may view the Site, print or download a reasonable number of pages for your personal, non-commercial reference (for example, to share with a spouse or co-owner considering a renovation), and link to the Site, provided that you do not:
- copy, reproduce, republish, frame, scrape, index for training of artificial-intelligence models, or otherwise exploit the Site or its content for commercial purposes without our prior written consent;
- remove or alter any copyright, trademark, or other proprietary notices;
- use the “Pistis” name, logo, or other marks in a way that suggests endorsement, partnership, or affiliation without our written consent; or
- link to the Site in a way that is misleading, defamatory, or otherwise harmful to our reputation.
All rights not expressly granted are reserved.
9. Acceptable use
You agree not to:
- access the Site by any means other than a standard web browser, except for well-behaved search-engine crawlers operating in accordance with our robots policy;
- interfere with or disrupt the Site, the servers or networks that host it, or any user’s use of it (including by introducing malware, denial-of-service traffic, or excessive automated requests);
- attempt to gain unauthorised access to any part of the Site, including any non-public account, server, or system;
- use the Site to send unsolicited messages or to harvest contact information;
- submit information about another person without their consent; or
- use the Site or any content from it in violation of any applicable law.
10. Third-party services and links
The Site uses third-party services to operate, including hosting, content delivery, transactional email, and measurement and advertising (as described in our Privacy Policy). The Site may also link to third-party websites that we do not control. We are not responsible for the content, practices, or availability of third-party services or websites, and your use of them is governed by their own terms and policies.
11. No professional or contractual relationship from the Site alone
Submitting an enquiry, requesting a quotation, or attending a consultation does not by itself create a contractor-client relationship, a fiduciary relationship, or any obligation on our part to perform construction or design services. A contractor-client relationship is created only when both parties have signed a Project Contract. Until then, either party may end discussions at any time, for any reason, and without liability.
12. Disclaimers
The Site and its content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Pistis disclaims all representations, warranties, conditions, and guarantees, whether express or implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, or uninterrupted or error-free operation.
Without limiting the foregoing, we do not warrant that the Site will be free of bugs, viruses, or other harmful components, that any defects will be corrected, or that any information on the Site is current, accurate, or applicable to your situation. Photographs, renderings, sample budgets, and timelines on the Site are indicative only.
13. Limitation of liability
To the maximum extent permitted by law, in no event will Pistis, our owners, employees, agents, or subcontractors be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profit, revenue, opportunity, goodwill, data, or anticipated savings, arising out of or in connection with your access to or use of the Site or its content, even if we have been advised of the possibility of such damages.
Our aggregate liability to you for all claims arising out of or relating to your use of the Site or any information provided through it — whether in contract, tort (including negligence), statute, or otherwise — is limited to the greater of: (a) one hundred Canadian dollars (CAD $100); or (b) the fees, if any, you have actually paid to us for use of the Site (excluding amounts paid under a Project Contract, which is governed by its own limitation of liability).
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud, fraudulent misrepresentation, or personal injury or death caused by negligence. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Pistis and our owners, employees, agents, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a solicitor-and-own-client basis) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; or (c) any content or information you submit to us, including any infringement of intellectual-property or privacy rights.
15. Suspension and termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice. You may stop using the Site at any time. Sections that by their nature should survive termination — including Sections 7 (Your submissions), 8 (Intellectual property), 12 (Disclaimers), 13 (Limitation of liability), 14 (Indemnification), 16 (Governing law and jurisdiction), and 18 (General) — will survive.
16. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to its conflict-of-laws principles. You and Pistis irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in the City of Toronto for the resolution of any such dispute or claim, subject to either party’s right to seek interim or injunctive relief in any court of competent jurisdiction.
17. Force majeure
We are not liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including acts of God, severe weather, fire, flood, earthquake, pandemic or epidemic, war, terrorism, civil unrest, labour disputes or strikes, supply-chain disruption, failure of utilities or telecommunications, or governmental orders.
18. General
- Entire agreement. These Terms, together with our Privacy Policy and any notices posted on the Site, constitute the entire agreement between you and Pistis regarding the Site, and supersede any prior agreement on that subject. If you and Pistis enter into a Project Contract, the Project Contract governs the services described in it; in the event of conflict between these Terms and the Project Contract, the Project Contract prevails for those services.
- Changes.We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after the effective date of the updated Terms constitutes acceptance of the changes; if you do not agree, you must stop using the Site.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force, and the invalid or unenforceable provision will be reformed to the minimum extent necessary to make it valid and enforceable while reflecting the original intent.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a sale, merger, financing, or reorganisation of our business.
- Notices. We may give notice to you by email to the address you have provided to us, or by posting on the Site. You may give notice to us at the email address in Section 19.
- Language. You and Pistis confirm that you have requested that these Terms, and all related documents, be drawn up in the English language. Vous et Pistis confirmez que vous avez exigé que les présentes Conditions ainsi que tous les documents connexes soient rédigés en langue anglaise.
